Terms and Conditions of Business
  1. Scope of Work

    The training or coaching assignment is confined to the work specified in the proposal or letter of intent, unless there are additional activities agreed to by both the Client and Cognitrix Ltd.

  2. Trainers & Coaches

    Trainers & Coaches will be put forward by Cognitrix Ltd. on the basis of suitability for the work. However, the Client has the right to approve which Trainer(s) or Coach(es) are actually used.

  3. Quality Control

    Cognitrix Ltd. will undertake to monitor the quality of delivery by its trainers & coaches in a manner to be agreed with the Client.

  4. Course Materials

    All proposals and any written training materials produced by Cognitrix Ltd. (Dr. T.J. VanderNoot) remain the intellectual property of Dr. T.J. VanderNoot and are protected under international copyright laws. Reproduction, storage, or distribution in any form without prior written consent is expressly forbidden. The written training materials are provided only for the personal use of the course participants. Reproduction or distribution in any form to third parties is expressly forbidden. If the Client wishes to use any Cognitrix Ltd. material internally or externally, prior written permission must be obtained from Cognitrix Ltd. If such permission is granted, a license fee may be charged. Any workshop materials supplied to the Client will be charged at cost.

  5. Website Materials

    All information & material on the website of Cognitrix Ltd. (Dr. T.J. VanderNoot) is the intellectual property of Dr. T.J. VanderNoot and is protected under international copyright laws. Reproduction, storage, or distribution in any form without prior written consent is expressly forbidden. The information & written or graphical materials are provided only for the personal use of website visitors. Reproduction or distribution in any form to third parties is expressly forbidden. If a visitor to the website wishes to use any Cognitrix Ltd. material internally or externally, prior written permission must be obtained from Cognitrix Ltd. If such permission is granted, a license fee may be charged.

  6. Fee Structure

    Group Trainings
    & Facilitation
    Personal Coaching
    £ 600 per day + expenses £ 250 per day + expenses
    £ 400 per half-day + expenses £ 125 per half-day + expenses

    1. These fees are in UK pounds sterling and exclusive of VAT.
      At present Cognitrix Ltd. is not required to charge VAT.
    2. These fees are approximate baseline figures. Cognitrix Ltd. reserves the right to negotiate fees for particular work depending upon any other relevant considerations. Cognitrix Ltd. will maintain the daily rate as per the agreed proposal once the training or coaching has been contracted. However, should a time of two months or more elapse between proposal and formal acceptance of the proposal by the Client, Cognitrix Ltd. reserves the right to review fee rates in accordance with operating costs. Clients will be given written confirmation of any fee adjustments. Fees for work exceeding one year in duration will be reviewed.
    3. For contracts of less than £ 1500, fees will be invoiced upon completion. Contracts of more than £ 1500 will require an official Purchase Order from the Client. When a contract exceeds £ 5000, Cognitrix Ltd. will invoice 40% upon the contract being agreed, to be paid prior to commencement of work. Thereafter, Cognitrix Ltd. will invoice either upon completion (for contracts completed in less than one month) or at the end of each month (for contracts longer than one month in duration.)
    4. Fees are reviewed semi-annually on 01 October and 01 April.
    5. Fees for Personal Coaching may vary depending upon the client's needs and geographical location.

  7. Training Facilities

    When training courses are held at an hotel or on a Client's premises, the Client is responsible for the provision of suitable training rooms, facilities, equipment and administrative services as required.

  8. Cancellation Terms

    Cognitrix Ltd. must be given written notification of any cancellation of training or coaching work and the following terms will normally apply:

    more than 21 calendar days 20% of contract + any incurred expenses.
    15-21 calendar days 40% of contract + any incurred expenses.
    8-14 calendar days 60% of contract + any incurred expenses.
    Less than 7 calendar days 80% of contract + any incurred expenses.

  9. Re-scheduling Terms

    In the event that the client wishes to reschedule training days, Cognitrix Ltd. will charge the following administrative fees:

    more than 21 calendar days £ 40 per day rescheduled + any incurred expenses.
    15-21 calendar days £ 80 per day rescheduled + any incurred expenses.
    8-14 calendar days £ 120 per day rescheduled + any incurred expenses.
    Less than 7 calendar days £ 200 per day rescheduled + any incurred expenses.

    In the event that Cognitrix Ltd. wishes to reschedule training days, then the following discounts will be offered on the rescheduled days:

    more than 21 calendar days £ 40 per day rescheduled.
    15-21 calendar days £ 80 per day rescheduled.
    8-14 calendar days £ 120 per day rescheduled.
    Less than 7 calendar days £ 200 per day rescheduled.

    In all cases, the Client is fully liable and responsible for any expenses or costs which they have themselves incurred.


  10. Expenses

    Travel, accommodation, subsistence and any additional expenses necessarily incurred while engaged on a Client's business will be charged to the Client. Travelling time will not usually be billed as long as it does not contribute a significant fraction to the total time involved and can be reasonably conducted either outside of working hours or within a full day's work.

    Unless otherwise agreed in writing the Client will be responsible for:

    1. Mileage charges at the AA recommended rate of 60 pence per mile; standard class rail and air fares and/or any necessary taxi/bus fares.
    2. Hire charges for any necessary equipment required on an ad hoc basis e.g. video, TV, etc.

    N.B. All expenses incurred by Cognitrix Ltd. while working on a Client's contract will be charged to the Client at cost, without the addition of any percentage charge.

  11. Invoicing and Payment

    1. Personal Coaching fees are due immediately at the end of the coaching session.
    2. Group Facilitation & Training
      • For contracts of less than one month's duration, invoices will be submitted upon completion or delivery.
      • Unless otherwise agreed, invoices will be submitted for the balance on the last day of each month, in equal amounts pro rata to the number of months involved in the assignment. 40% of payment should be made in advance when fees are 5000 and above.
        Payments may be made by cash, cheque or automated bank transfer (BACS).
      • N.B. All invoices are payable within 30 days.
        There will be an administrative charge of 10% of the total invoice for payments made after 30 days.
        Interest on payments later than 2 months will be charged at 8% over the base rate.
        Further work will not be undertaken until all outstanding invoices have been paid in full.

  12. Confidentiality and Intellectual Property Rights

    Any documents, materials or information supplied by the Client during the course of the training or coaching will be held in the strictest confidence. Documents or other materials supplied by the Client during the course of the training or coaching work remain the intellectual property of the Client. Such documents and/or materials will be returned or destroyed at the Client's request.

    Any documents, materials or information supplied by Cognitrix Ltd. remain the intellectual property of Cognitrix Ltd. The Client is responsible for maintaining the confidentiality and security of any such documents, materials or information provided by Cognitrix Ltd. The use and/or reproduction in whole or in part by any means without the written approval of Cognitrix Ltd. is expressly forbidden.
